1. Acceptance of Terms
By using our website or hiring Tsuki Technologies for any service, you confirm that you are at least 18 years of age, legally capable of entering into a binding agreement, and that you accept these Terms & Conditions in full. These terms apply to all visitors, clients, and users of our website and services.
2. Services Provided
Tsuki Technologies offers a range of digital services including but not limited to:
- Web Development (Front-End, Back-End, Full-Stack, CMS, E-Commerce)
- Mobile App Development
- Digital Marketing (SEO, Social Media, Email Marketing, Content Marketing)
- AI & Automation Solutions
- Business Process Outsourcing (BPO)
- Web Optimization & Hosting Setup
The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate Project Agreement or Statement of Work (SOW) signed by both parties.
3. Client Responsibilities
To ensure successful project delivery, clients are expected to:
- Provide accurate, complete, and timely information, content, and materials required for the project.
- Review and provide feedback on deliverables within the agreed timeframes.
- Ensure that all content, images, logos, and materials provided to us do not infringe on any third-party intellectual property rights.
- Make payments as per the agreed schedule outlined in the project agreement.
- Communicate changes to project scope promptly and in writing.
Delays caused by the client’s failure to meet these responsibilities may result in project timeline extensions and are not the liability of Tsuki Technologies.
4. Payment Terms
All payment terms are outlined in the individual project agreement. General payment conditions include:
- A non-refundable deposit (typically 30–50%) is required before project commencement.
- Remaining payments are tied to project milestones as defined in the agreement.
- Final deliverables will only be handed over upon receipt of full payment.
- Invoices not paid within the agreed due date may incur a late fee or result in project suspension.
- All prices are quoted in the agreed currency and are exclusive of applicable taxes unless stated otherwise.
5. Intellectual Property Rights
Upon receipt of full and final payment, the client will own all custom work and deliverables created specifically for their project. Until then, all work remains the intellectual property of Tsuki Technologies.
The following are not included in the transfer of ownership:
- Proprietary frameworks, tools, libraries, or code developed internally by Tsuki Technologies.
- Third-party plugins, themes, or software licensed separately.
- Any pre-existing intellectual property owned by Tsuki Technologies prior to the project.
Tsuki Technologies reserves the right to display completed projects in our portfolio and marketing materials unless the client requests confidentiality in writing.
6. Confidentiality
Both parties agree to keep all project-related information, business data, strategies, and communications strictly confidential. Tsuki Technologies will not disclose any client information to third parties without prior written consent, except where required by law. This obligation continues even after the completion or termination of the project.
7. Revisions & Change Requests
Each project includes a defined number of revision rounds as specified in the project agreement. Additional revisions or changes beyond the agreed scope will be treated as new work requests and may be subject to additional charges. All change requests must be submitted in writing and approved by both parties before implementation.
8. Project Timeline & Delays
Tsuki Technologies will make every effort to deliver projects within the agreed timeline. However, timelines may be affected by:
- Delayed feedback, approvals, or content from the client.
- Scope changes or additions requested mid-project.
- Technical issues beyond our reasonable control (e.g., third-party platform outages).
- Force majeure events including natural disasters, pandemics, or government restrictions.
In such cases, Tsuki Technologies will notify the client promptly and provide a revised timeline.
9. Limitation of Liability
Tsuki Technologies shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, data loss, or business interruption. Our total liability in any matter related to our services shall not exceed the total amount paid by the client for the specific project in question.
10. Third-Party Services & Tools
Our services may involve the use of third-party platforms, plugins, APIs, or tools (e.g., WordPress, Shopify, Google Analytics, AWS). Tsuki Technologies is not responsible for:
- Changes, outages, or discontinuation of third-party services.
- Costs associated with third-party licenses or subscriptions.
- Data handling practices of third-party platforms.
Clients are advised to review the terms and privacy policies of any third-party tools used in their project.
11. Website Use & Prohibited Activities
By using our website, you agree not to:
- Use the website for any unlawful or fraudulent purpose.
- Attempt to gain unauthorized access to any part of our website or systems.
- Transmit any harmful, offensive, or malicious content.
- Copy, reproduce, or redistribute any content from our website without written permission.
- Use automated bots or scrapers to extract data from our website.
Violation of these terms may result in immediate termination of access and legal action where applicable.
12. Termination of Services
Either party may terminate a project or service agreement by providing written notice at least 7 days in advance. Upon termination:
- The client is liable to pay for all work completed up to the termination date.
- Tsuki Technologies will deliver all completed work upon receipt of outstanding payments.
- Any advance payments for unstarted work may be refunded as per our Refund Policy.
Tsuki Technologies reserves the right to terminate services immediately in cases of non-payment, abusive behavior, or violation of these terms.
13. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Tsuki Technologies operates. Any disputes arising from these terms shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes may be referred to the appropriate legal authorities.
14. Changes to These Terms
Tsuki Technologies reserves the right to update or modify these Terms & Conditions at any time without prior notice. The revised version will be posted on this page with an updated “Last Updated” date. Your continued use of our website or services after any changes constitutes your acceptance of the new terms.
